Terms of Service

1. Eligibility

You must be at least 18 years old to use the Platform. If you are under 18, you may only use the Platform with the consent and supervision of a parent or legal guardian. By using the Platform, you represent that you have the legal capacity to enter into a binding agreement.

You may not use the Platform if you have been previously suspended or removed from it, or if your use would violate any applicable law or regulation in Cambodia or your jurisdiction.

2. Accounts and verification

You must register an account to post quests or apply for quests. Registration requires Telegram verification (or SMS OTP where Telegram is unavailable). You are responsible for keeping your account credentials secure and for all activity that occurs under your account.

One person may not hold multiple accounts. Duplicate accounts may be suspended without notice. You must provide accurate and complete information when registering, and keep it up to date.

Businesses seeking verified business status must submit additional documentation including a patent tax certificate, business license, and verified business address for manual admin review.

3. Nature of the platform

Quester Circle is a technology marketplace platform. We are not an employer, labor contractor, escrow provider, payment processor, or staffing agency. We connect Quest Creators and Questers but are not a party to the underlying work arrangements between them.

Questers choose quests voluntarily and are solely responsible for performing the agreed work. Creators are solely responsible for accurately describing quests, selecting suitable Questers, and making payment.

4. Quest posting and conduct

Quest Creators must provide accurate, complete, and truthful information when posting quests, including task description, location, required skills, deadline, and reward amount. All quests require admin approval before becoming visible to Questers.

Quests must be legal, safe, and reasonable. You may not post quests that involve illegal activities, adult content, dangerous conditions without proper disclosure, deceptive scope, or unreasonably low compensation.

Admin may reject, modify, or remove quests at any time for violations of these Terms or for safety and policy reasons.

5. Payment and platform fee

The Platform does not hold escrow during the MVP stage. Quest Creators pay Questers directly using agreed payment methods (including ABA transfer, QR payment, bank transfer, Wing, Acleda, or other approved local methods). Quester Circle charges a 10% platform fee on the completed quest reward, deducted from the Quester's payout. The Creator pays the Quester the quest reward minus the platform fee, and remits the platform fee to Quester Circle separately upon quest completion.

A quest is considered complete only when: (a) the Quester confirms payment received, (b) the Creator confirms task completion, and (c) the platform verifies its platform fee. Creators who do not pay the platform fee may be flagged, restricted, or removed from the Platform.

Platform fees are non-refundable once a quest is confirmed complete by all parties. Quester Circle reserves the right to adjust the platform fee rate with notice.

6. Independent contractor status

Questers are independent contractors, not employees, agents, or partners of Quester Circle or of Quest Creators. You are solely responsible for determining how to complete tasks, providing your own tools and equipment, and complying with all applicable tax obligations in Cambodia and any other relevant jurisdiction.

Quester Circle does not direct, control, or supervise the manner in which Questers perform work. Nothing in these Terms creates an employment relationship.

7. Reviews and ratings

After a quest is fully completed, Creators may leave a review for the Quester covering work quality, reliability, communication, timeliness, and professionalism. One review is allowed per completed quest.

Reviews must be honest and based on actual experience. Fake, coerced, or retaliatory reviews are prohibited. Quester Circle reserves the right to remove reviews that violate these standards.

Ratings affect XP ranking calculations and rank progression. Quester Circle uses a weighted rating formula that gives greater weight to recent performance.

8. Agent program

Agents are compensated only for verified, completed, revenue-generating quest activity. Agent payouts are tied to the first three qualifying completed quests for each Quester or Creator they refer. Self-referrals and dual-side referrals are prohibited and may result in account suspension.

Agent compensation is calculated per quest and is subject to fraud review before payout approval. Quester Circle reserves the right to withhold, reverse, or adjust agent payouts if fraud, manipulation, or policy violations are detected.

9. Disputes

If a dispute arises between a Creator and a Quester, either party may submit a dispute through the Platform. Both parties will be asked to provide evidence (payment screenshots, Telegram messages, photos, time records). Admin will review the evidence and make a decision. Penalties, corrections, or account restrictions may be applied.

Quester Circle's dispute decisions are final for purposes of Platform access and ranking. They do not constitute legal adjudication and do not prevent parties from pursuing legal remedies in a competent court.

10. Prohibited conduct

You may not use the Platform to:

• Create fake, duplicate, or impersonation accounts;
• Artificially inflate XP, ratings, or agent payouts;
• Post quests for illegal, deceptive, or harmful activities;
• Harass, threaten, or discriminate against other users;
• Use automated tools to scrape, spam, or manipulate the Platform;
• Conduct any activity that undermines marketplace trust, fairness, or security.

Violations may result in immediate suspension, account termination, and forfeiture of pending payouts.

11. Intellectual property

The Quester Circle name, logo, design system, software, and Platform content are owned by Quester Circle Co., Ltd. and protected by applicable intellectual property laws. You may not copy, reproduce, or distribute Platform content without our written consent.

By posting content on the Platform (quest descriptions, profile information, reviews), you grant Quester Circle a non-exclusive, royalty-free license to display and use that content for Platform operations.

12. Disclaimer and limitation of liability

The Platform is provided "as is" without warranties of any kind. Quester Circle does not guarantee the quality, safety, legality, or completion of any quest, or that any Creator or Quester will perform as agreed.

To the maximum extent permitted by applicable law, Quester Circle will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to lost income, property damage, or personal injury resulting from interactions between users.

Our total liability to you for any claim arising from these Terms or your use of the Platform will not exceed the total platform fees paid by you in the 12 months preceding the claim.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by updating the effective date and, where appropriate, by notifying you through the Platform or via Telegram. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the Kingdom of Cambodia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in Phnom Penh, Cambodia.
